Acuerdo de publicación y venta

1. El Propietario autoriza a Majo Yacht Group (“Majo”) a publicar la embarcación descrita en este formulario (la “Embarcación”) en su sitio web, redes sociales y demás canales, con las fotografías y los datos suministrados.
2. Mensualidad y plazo: el Propietario paga US$49.99 al mes más ITBMS (US$53.49) mientras la Embarcación esté publicada, con un plazo mínimo de 6 meses, salvo que la Embarcación se venda antes. Si la Embarcación está entre los primeros 20 botes registrados en la plataforma, el primer mes es gratis.
3. La mensualidad se paga por adelantado, por enlace de pago o con cargo a la tarjeta que el Propietario registre en la pasarela de pago; Majo no guarda datos de tarjetas. Si un mes no se paga, la ficha se pausa.
4. Comisión: si la Embarcación se vende mientras está publicada, el Propietario paga a Majo una comisión del 10 % más ITBMS sobre el precio final de venta, sea quien sea el comprador. Si la venta ocurre dentro de los primeros 6 meses, Majo descuenta de la comisión las mensualidades pagadas en ese plazo (sin ITBMS), hasta el monto de la comisión. Después de ese plazo no hay descuento. La comisión no se cobra en la plataforma: se liquida al cierre de la venta, según el punto 7.
5. Si el Propietario retira la ficha (lo que puede hacer al terminar el plazo mínimo), la comisión aplica igual si la Embarcación se vende, dentro de los 12 meses siguientes, a un comprador presentado, referido o contactado por Majo.
6. Majo atiende a los interesados y no publica los datos del Propietario. Majo avisará por escrito al Propietario de cada comprador que presente; si un comprador presentado por Majo lo contacta directamente, el Propietario lo remitirá a Majo y no negociará la venta por fuera de Majo.
7. La comisión se paga al cierre: cuando el Propietario reciba el pago o se firme el traspaso, lo que ocurra primero. El pago del comprador se canaliza a través de Majo o del abogado que intervenga, y la comisión se descuenta antes de entregar el saldo al Propietario.
8. El Propietario declara ser dueño de la Embarcación o estar autorizado para venderla, y que la información suministrada es verdadera. Avisará a Majo por escrito de cualquier cambio de precio, estado o disponibilidad, y de la venta.
9. Terminado el plazo mínimo de 6 meses, el Propietario puede retirar la ficha cuando quiera con aviso por escrito (WhatsApp o correo). Las mensualidades pagadas no se reembolsan, salvo el descuento de la comisión del punto 4.
10. El resaltador es opcional: US$5.99 más ITBMS por cada 15 días; no se descuenta de la comisión.
11. La Embarcación se ofrece y se vende en Panamá, aunque el comprador sea de otro país. Los gastos de inspección, traspaso, trámites de salida, transporte y entrega corren por cuenta del comprador y no forman parte de la comisión.
12. Majo actúa como intermediario: no es parte de la compraventa ni garantiza la venta o el precio.
13. La aceptación electrónica de este acuerdo (casilla marcada, nombre escrito como firma, fecha, hora y dirección IP registradas) tiene la misma validez que una firma manuscrita. Este acuerdo se rige por las leyes de la República de Panamá.

Listing and sale agreement — English translation

1. The Owner authorizes Majo Yacht Group (“Majo”) to publish the vessel described in this form (the “Vessel”) on its website, social media and other channels, using the photos and information provided.
2. Monthly fee and term: the Owner pays US$49.99 a month plus 7% ITBMS (US$53.49) while the Vessel is listed, with a minimum term of 6 months unless the Vessel is sold earlier. If the Vessel is among the first 20 boats registered on the platform, the first month is free.
3. The monthly fee is paid in advance, by payment link or charged to the card the Owner registers with the payment gateway; Majo does not store card data. If a month is unpaid, the listing is paused.
4. Commission: if the Vessel is sold while listed, the Owner pays Majo a commission of 10% plus ITBMS on the final sale price, whoever the buyer is. If the sale takes place within the first 6 months, Majo credits against the commission the monthly fees paid in that period (excluding ITBMS), up to the amount of the commission. After that period there is no credit. The commission is not charged on the platform: it is settled at closing, as set out in point 7.
5. If the Owner withdraws the listing (which may be done once the minimum term ends), the commission still applies if the Vessel is sold, within the following 12 months, to a buyer introduced, referred or contacted by Majo.
6. Majo handles interested buyers and does not publish the Owner’s details. Majo will notify the Owner in writing of each buyer it introduces; if a buyer introduced by Majo contacts the Owner directly, the Owner will refer them to Majo and will not negotiate the sale outside Majo.
7. The commission is due at closing: when the Owner receives payment or the transfer is signed, whichever comes first. The buyer’s payment goes through Majo or the lawyer involved, and the commission is deducted before the balance is paid to the Owner.
8. The Owner states that they own the Vessel or are authorized to sell it, and that the information provided is true. The Owner will notify Majo in writing of any change in price, condition or availability, and of the sale.
9. Once the 6-month minimum term ends, the Owner may withdraw the listing at any time with written notice (WhatsApp or email). Monthly fees paid are not refunded, except for the commission credit in point 4.
10. Highlighting is optional: US$5.99 plus ITBMS for every 15 days; it is not credited against the commission.
11. The Vessel is offered and sold in Panama, even if the buyer is from another country. Inspection, transfer, departure formalities, transport and delivery costs are paid by the buyer and are not part of the commission.
12. Majo acts as an intermediary: it is not a party to the sale and does not guarantee the sale or the price.
13. Electronic acceptance of this agreement (ticked box, typed name as signature, recorded date, time and IP address) has the same validity as a handwritten signature. This agreement is governed by the laws of the Republic of Panama.
